Registered address and share capital: two details that can stall your company in Brazil

It may sound like a technicality, but these two points are responsible for a significant share of the delays and frustrations experienced by foreign companies when setting up in Brazil. Here is why.

The company’s registered address — where it can (and cannot) operate

The registered address must appear in the company’s articles of association. But not just any address will do: for commercial, import, or export companies, the registered office must be located in a geographic zone that the municipality authorizes for that type of business activity.

If the chosen address is not in an authorized zone for the type of business, the company will not be able to obtain the required registrations with public authorities — and that brings everything to a halt.

  • Service companies: generally have more flexibility and are not subject to these zoning restrictions.
  • Commercial, import, and export companies: must verify municipal zoning before selecting their registered address.

Before signing any lease for a company headquarters, always verify with a lawyer whether the zoning of that location permits the operation of your specific type of business.

Share capital — how much is required?

Good news: there is no minimum share capital required by law for most companies in Brazil. The amount will depend on the type of business being developed.

Important exception: in regulated sectors, the sector’s regulatory authority may require a specific minimum capital. This applies, for example, to financial institutions, insurance companies, health plans, and other specially regulated sectors.

How to contribute share capital?

  • In cash: the most common and straightforward method.
  • In assets: permitted, but the assets must form part of the company’s fixed assets — never merchandise or inventory.

Capital contribution may be made in full upon incorporation or in installments, within the timeframe agreed upon by the shareholders. Foreign capital must be registered with BACEN.
